1. Agreement to Terms

By accessing or using NeoMiners services, including our website, cloud mining platform, hosting services, and any related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Services.

These Terms apply to all visitors, users, and others who access or use the Services. By using the Services, you represent that you are at least 18 years of age and have the legal capacity to enter into these Terms.

2. Services Description

NeoMiners provides cryptocurrency mining services, including but not limited to:

• Sale of cryptocurrency mining hardware (ASIC miners)
• Cloud mining services and hashrate allocation
• Professional hosting and colocation services for mining equipment
• Data center solutions and facility management
• Datacenter construction and energy consulting services

The availability, features, and pricing of our Services may change at any time without prior notice.

3. User Accounts

To access certain features of our Services, you may be required to create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate your account if any information provided is inaccurate, misleading, or violates these Terms.

4. Payment Terms

All purchases and service fees are due at the time of order unless otherwise specified in a separate agreement. Accepted payment methods include cryptocurrency and traditional payment methods as displayed at checkout.

For hosting and cloud mining services, recurring fees are billed according to the billing cycle selected at the time of purchase. Failure to pay may result in suspension or termination of services.

All fees are non-refundable unless otherwise stated in writing or required by applicable law. Cryptocurrency payments are subject to network confirmation requirements.

5. Hardware Sales

Mining hardware sold through our platform is subject to manufacturer warranties and our return policy. All hardware specifications, performance estimates, and delivery timelines are provided as estimates and may vary.

Shipping and handling fees are calculated at checkout. Risk of loss and title for hardware passes to you upon delivery to the shipping carrier. Import duties and taxes are the responsibility of the buyer.

6. Hosting Services

Our hosting services are provided on an "as available" basis. While we strive to maintain high uptime, we do not guarantee uninterrupted service. Scheduled maintenance will be communicated in advance when possible.

You retain ownership of any mining hardware hosted at our facilities. We are not responsible for mining rewards, which are subject to network difficulty, market conditions, and other factors beyond our control.

7. Cloud Mining Services

Cloud mining contracts provide access to a specified amount of hashrate for the contract duration. Mining rewards are distributed according to the terms of your specific contract and are subject to pool fees, network difficulty, and maintenance costs.

We do not guarantee any specific mining output or profitability. Cryptocurrency mining involves inherent risks, and you should only invest what you can afford to lose.

8. Prohibited Activities

You agree not to engage in any of the following prohibited activities:

• Using the Services for any unlawful purpose or in violation of any applicable laws
• Attempting to gain unauthorized access to our systems or other users' accounts
• Interfering with or disrupting the integrity or performance of our Services
• Engaging in any activity that could damage, disable, or impair our infrastructure
• Using the Services for money laundering, terrorist financing, or other financial crimes
• Misrepresenting your identity or affiliation with any person or entity

9. Intellectual Property

The Services and their original content, features, and functionality are owned by NeoMiners and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on our Services without our express written permission.

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, secure, or error-free. We make no representations regarding mining profitability, cryptocurrency values, or investment returns.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEOMINERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, REGARDLESS OF WHETHER SUCH DAMAGES ARE BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY.

12. Indemnification

You agree to indemnify, defend, and hold harmless NeoMiners and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses arising from your use of the Services or violation of these Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Dubai, UAE.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of any material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Services after such changes constitutes your acceptance of the modified Terms.
